These Terms apply to all visitors, users, and others who access or use the Services. By using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Nexoas provides a multi-tenant SaaS e-commerce platform that enables businesses to create, manage, and operate online stores. Our Services include storefront creation, product management, order processing, payment integration, analytics, and related tools.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation of the Services.

To use certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure.

You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorized use. We are not liable for any loss arising from unauthorized use of your account.

You may not share your account credentials with third parties or create multiple accounts for the same business without our written consent.

Our Services are offered on a subscription basis with tiered pricing plans. By subscribing, you agree to pay the applicable fees as outlined on our pricing page.

Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel your subscription at any time from your account settings.

All fees are exclusive of taxes, which you are responsible for paying as required by law. We reserve the right to change our pricing with 30 days' notice to you.

You agree to use our Services only for lawful purposes and in accordance with these Terms and all applicable laws and regulations.

All subscription payments are processed by our third-party Merchant of Record, subject to their terms and acceptable use policies. As a store owner you must comply with their Acceptable Use and Prohibited Products policies, which are incorporated into these Terms by reference. Nexoas may suspend or terminate any store that violates them.

You may not use the Services to offer, sell, promote, or distribute any of the following prohibited merchandise or content. This list is illustrative and not exhaustive:

• Illegal goods, or items that infringe the intellectual property rights of others (including counterfeit, knockoff, pirated, or unauthorized replica products);

• Controlled substances, drugs, or drug paraphernalia, including cannabis, CBD, and prescription pharmaceuticals, except where expressly permitted in writing;

• Tobacco, e-cigarettes, vaping products, and related accessories;

• Alcoholic beverages and any products that lawfully require age verification to purchase;

• Firearms, ammunition, weapons, explosives, or related accessories;

• Adult, pornographic, or sexually explicit content or services;

• Gambling, betting, lottery, or sweepstakes products and services;

• Cryptocurrencies, NFTs, ICOs, or other speculative digital assets, except where expressly permitted;

• Counterfeit currency, stolen goods, or any items that promote violence, hatred, or discrimination;

• Products that make unsolicited or unsubstantiated health, medical, or financial claims.

We reserve the right to update this list at any time to reflect changes in law or our payment processor's policies, and to suspend, restrict, or terminate any store found offering prohibited merchandise, including reporting illegal activity to the appropriate authorities.

The Services, including all software, content, trademarks, and design elements, are owned by Nexoas and protected by copyright, trademark, and other intellectual property laws.

You retain ownership of all content you upload to the platform. By using the Services, you grant us a limited license to host, store, and display your content solely to provide the Services to you.

You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

We take your privacy seriously. All data is encrypted in transit and at rest, and each tenant's data is fully isolated through Row Level Security policies.

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your data.

To the maximum extent permitted by law, Nexoas shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Services.

Our total liability for any claims arising from these Terms or the Services shall not exceed the amount you paid us in the 12 months preceding the claim.

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services ceases immediately.

After termination, we will retain your data for 30 days to allow for data export, after which it may be permanently deleted. Sections of these Terms that by their nature should survive termination will continue to apply.

We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through our platform at least 30 days before the changes take effect.

Continued use of the Services after the effective date of any changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Services.
